BASIC FUNCTION: The primary function of this position is to assist the Legal Department, senior management, and designated staff in various complex, responsible, and confidential secretarial, administrative, and legal/corporate secretary duties in an efficient and timely manner. The incumbent must understand technical legal terminology and requires working knowledge of document formats of a legal nature such as contracts, exhibits, letters and corporate documents. This position requires the ability to work independently, exercising judgment and initiative.
RESPONSIBILITIES: Formulate proposals, departmental presentations and special projects as well as coordinating procedures necessary for execution and/or implementation.
Perform word processing on contracts and other legal documents.
Plan and arrange department meetings including gathering of information, agenda preparation, and contacting meeting participants.
Schedule and coordinate travel arrangements using net-based system. Coordinate the setup for new/remote staff i.e. hardware, software, phone, equipment, office supplies, etc. Review correspondence prior to distribution to member credit unions.
Act as Assistant Secretary to the Board of Directors.
Required to take notes/record meetings and prepare minutes from the Board of Directors meetings and Executive Committee Meetings.
Play a key role in coordinating the election process for the Annual Meeting.
Prepare presentation materials, correspondence and reports for the Legal Officer and maintain proficiency in creating and producing presentation materials, utilizing and interfacing various software packages.
Coordinate all Board Meetings and prepare the presentation materials for mailing in a timely manner.
After each Board meeting, transfers all presentation materials, for archival purposes, to the secure website created in Member Connect for each Board member.
During off-site Board meetings, coordinate all events, meeting set-up and catering.
Orders the catering for meetings and provides set-up.
May compose and sign correspondence for department personnel and designated manager(s). In manager’s absence, ensures that requests for action or information are relayed to the appropriate staff member. As needed, interprets requests and helps implement action, decides whether manager should be notified of important or emergency matters.
Prepares reports including conclusions and recommendations for solution of operational and administrative problems.
Analyzes unit-operating practices such as record keeping systems, forms control, office layout, suggestion systems, personnel and budgetary requirements and performance standards to create new systems or revise established procedures.
Perform other miscellaneous duties as assigned.
EDUCATION: Associate’s Degree or equivalent combination of education and experience required.
EXPERIENCE/ SKILLS: Minimum five (5) years administrative/legal support experience required with two (2) years legal contracts experience. Prefer minimum of two (2) years experience working for corporate executive level.
PC experience and thorough knowledge in the established Microsoft operating system software and defined spreadsheet and presentation application software required.
Proficient in business letter and report writing techniques.
Responsible secretarial and clerical skills using independent judgment with speed and accuracy. Professional demeanor and diplomacy.
