Our client, a boutique law firm, is seeking to add an experienced Corporate Paralegal. This is a great opportunity for someone coming from a large firm with high billable hours requirements and low life-work balance to transition to a great more balanced environment with flexibility, a hybrid schedule, and no billable hours.
Responsibilities will include:
Drafting and reviewing varying documents including, but not limited to, employment agreements, subscription agreements, and contractor agreements;
Effectively communicating with clients;
Assisting in startup fundraising objectives (i.e. SEC filings, Convertible Note Drafting, etc.);
Drafting memoranda and conduct research on various areas of law; and
Engaging with any other task the law firm may require from time to time.
. Experience in contract drafting and review, securities regulations, and corporate and business law as it pertains to the startup industry;
Intellectual curiosity and strong interest in transactional matters;
Passion and confidence in performing unique, challenging, and exciting assignments;
Excellent oral and written communication skills;
Strong analytical skills;
Strong attention to detail and organizational skills.
-Experience with SEC Filings, Form D Filings
-Experience with Private Placement Memorandum
