The Commercial Banking Legal team is seeking an attorney experienced in syndicated financing and other lending matters, with interest in learning other aspects of legal support of traditional banking services. The position will be based in New York, NY, Jersey City, NJ, Chicago, IL or Plano, TX.
You will be part of a team supporting Corporate Client Banking/Specialized Industries (CCBSI), and report to the Practice Group Head for this unit. CCBSI is one of the main sub-lines of business (LOBs) within JPMorgan Chase & Co. (JPMC)'s Commercial Banking (CB) line of business, providing U.S.-based clients and a growing list of non-U.S. based clients in 15+ countries with US$500 million-$2+billlion in annual revenue with JPMC's full suite of financial services, including credit, payments, and investment banking services. At $3.51 billion of annual 2021 revenue, CCBSI generated 35% of Commercial Banking's total annual 2021 revenue. Client industry specialties within CCBSI include technology; sports and advertising; entertainment; oil & gas exploration, production and service companies; domestic banks, specialty finance, mortgage warehouse finance, insurance and other financial institutions; healthcare, real estate and power and utilities.
In addition to supporting clients on traditional banking matters and transactions, you will have the opportunity to become familiar with deposit and cash management products, regulatory and compliance issues affecting financial institutions and new developments, products and players in financial services (e.g., fintechs, big techs, new payments systems, blockchain, AI, quantum computing, data use and protection, cybersecurity, etc.) and their impact to CCBSI and its clients, and be the Legal representative for CCBSI and/or CB on broader projects.
Provide transaction support, including analysis and advice on structural and risk issues and review and negotiation of credit and collateral documentation; drafting, review and negotiation of confidentiality agreements, guarantees, collateral assignments of deposit accounts, advised line documents, fee letters, engagement letters, term sheets, and commitment letters; tailoring of standard bank loan documentation forms; indicative term sheets and other proposals; amendments and waivers, etc., and advising underwriters on various credit agreement issues
Counsel bankers on structuring and documenting a variety of credit and banking transactions.
Development and updating and/or participating in development and updating of standard bank loan documentation forms
Coordination within CB and with Corporate & Investment Bank Legal on assorted credit & lending topics and policy and/or documentation development
Involvement (with relevant team members and/or internal SMEs) in other transactional, negotiation, legal or compliance issues affecting your client base (e.g., regarding deposit and cash management products, loan administrative issues, regulatory issues, errors or disputes, etc.)
Participation in internal projects, often cross-CB or cross-LOB, to streamline operations, create efficiencies and/or improve the client experience
Participation in JPMC initiatives on diversity, equity and inclusion as well as environmental, social and governance topics
Training of internal constituencies (e.g. bankers, credit, service) on legal issues
Outside counsel management and communications on JPMC credit documentation issues, procedures and changes; law firm conflict waivers
Qualifications: You should possess:
J.D. degree and be a licensed attorney in good standing (New York, Illinois and/or Texas strongly preferred) with at least 5 years' experience.
A general knowledge of and experience with credit and lending issues, transactions and documentation (especially syndicated credit transactions).
The ability to establish ongoing relationships and partner across business lines to deliver appropriate and consistent solutions.
Excellent skills in communicating with clients and prospects, internal colleagues and external counsel and other lenders, administrative agents, creditors, etc., and in negotiating with any of these constituencies when necessary.
A proven ability to operate in a fast-paced, constantly changing environment and an up-beat, "can-do" attitude and willingness to meet challenges head-on.
